Terms of Service

Status: DRAFT v1. Effective date TBD.

1. Account + access

  • You must be 16+ and have authority to bind your institution.
  • Multi-factor authentication is required (TOTP MFA).
  • You are responsible for actions taken under your credentials.

2. Subscriptions + billing

Plans: Free, Researcher, Lab, Enterprise. Free is for verified academics. Paid plans bill monthly via Stripe. Overages credit-meter and charge per-credit. Soft cap by default; hard cap available on request. Refunds: pro-rated within 30 days of charge, less consumed credits.

3. Acceptable use

  • No reverse engineering, no rate-limit bypass attempts, no automated scraping outside published APIs.
  • No use to track humans (the platform is for animal-behavior research; human-subject data is out of scope).
  • No use that violates any applicable IACUC or animal-welfare law.

4. Your data + IP

You retain all rights to videos, derived results, and per-customer model overlays. Axovera is the processor, not the owner. You grant Axovera a non-exclusive license to process your data only as needed to operate the service. Atlas data sharing (Phase 5+) is opt-in and separately licensed.

5. Service availability + SLA

Phase 1 service is provided AS IS without an SLA. Phase 2 adds contractual uptime (target 99.5%) for Lab and Enterprise plans. Planned maintenance is announced 7 days in advance.

6. Compute backends

Job execution may run on third-party GPU providers (RunPod, Lightning AI, Lambda Labs, AWS Batch, Globus Compute). We attribute failures to the responsible component. We do NOT silently retry across backends.

7. Termination

Either party may terminate for material breach with 30-day notice. On termination, your data exports within 90 days; thereafter deleted per Privacy Policy Section 5.

8. Warranty disclaimer

Service is provided AS IS. We disclaim implied warranties to the extent permitted by law.

9. Limitation of liability

Aggregate liability capped at fees paid in the prior 12 months. Indirect or consequential damages excluded except as required by law.

10. Governing law + disputes

Governed by the law of the state where Axovera is incorporated (TBD post-incorporation). Disputes resolved by binding arbitration, except for IP claims which may proceed in court.

11. Changes

Material changes are emailed 30 days in advance. Continued use after the effective date constitutes acceptance.
